Tabendi Healthcare Network – Patient Terms of Service

These Patient Terms of Service (“Terms”) constitute a binding agreement between Tabendi Healthcare Network (THN) (“Tabendi,” “we,” “our,” or “us”) and the individual using the Tabendi Healthcare Network platform (“you,” “your,” or “Patient”). By creating an account, booking a connection with a healthcare provider through the Tabendi platform, or paying a platform fee, you agree to be bound by these Terms and our Privacy Policy.


1. Nature of Services

1.1 Technology Platform Only – Tabendi Healthcare Network is a technology platform that facilitates connections between patients and independent healthcare providers (“Providers”). Tabendi does not provide medical, healthcare, or clinical services. All medical advice, diagnoses, or treatment are provided solely by the Provider with whom you connect.

1.2 No Provider-Patient Relationship with Tabendi – Using the platform does not create a healthcare provider-patient relationship between you and Tabendi. Any such relationship exists only between you and your Provider.


2. Eligibility

You must be:

  • At least 18 years of age, or the age of legal majority in your jurisdiction; or
  • A minor with the consent and supervision of a parent or legal guardian, who must agree to these Terms on your behalf.


3. Platform Fee and Payment

3.1 Platform Fee – When you connect with a Provider through the Tabendi platform, you agree to pay a platform fee in the amount displayed to you within the platform at the time of booking or initiating the connection.

3.2 Fee Changes – Platform fees are subject to change at Tabendi’s sole discretion. The applicable fee will always be displayed in the platform prior to your confirmation, and your payment of that fee constitutes acceptance of the updated amount.

3.3 Separate Provider Fees – Your Provider may charge additional fees for medical or healthcare services. These fees are separate from the platform fee and are determined solely by the Provider.

3.4 Payment Processing – Payments are processed through secure third-party payment processors. By providing your payment information, you authorize Tabendi (or our payment processor) to charge your selected payment method for all fees due.

3.5 Refunds – Platform fees are non-refundable, except where required by applicable law or expressly stated otherwise in these Terms.


4. Privacy and HIPAA

4.1 Personal Data vs. PHI –

  • Certain information you provide (e.g., demographic data, payment information) will be governed by the Tabendi Privacy Policy.
  • Certain health or health-related information may constitute Protected Health Information (“PHI”) under the Health Insurance Portability and Accountability Act (“HIPAA”). PHI is governed by your Provider’s HIPAA Notice of Privacy Practices when Tabendi is acting as a Business Associate of that Provider.

4.2 HIPAA Role – When Tabendi collects PHI on behalf of a Provider, we act as that Provider’s Business Associate and handle PHI in accordance with HIPAA and our Business Associate Agreement with the Provider.


5. User Responsibilities

By using the platform, you agree to:

  • Provide accurate and complete information.
  • Use the platform only for lawful purposes.
  • Not use the platform for any fraudulent or abusive activity.


6. Disclaimers

6.1 No Medical Advice – Tabendi does not provide medical advice, diagnoses, or treatment. Any medical information provided through the platform is solely from the Provider.

6.2 No Warranty – The platform is provided “AS IS” without any warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.


7. Limitation of Liability

To the maximum extent permitted by law, Tabendi shall not be liable for:

  • Any medical outcomes resulting from services provided by a Provider.
  • Any indirect, incidental, special, consequential, or punitive damages.
  • Our total liability for any claim shall not exceed the amount of the platform fee you paid for the connection in question.


8. Dispute Resolution

Any dispute arising under these Terms shall be resolved through binding arbitration in DuPage, Illinois, under the rules of the American Arbitration Association.


9. Modifications

Tabendi may modify these Terms at any time. Updated Terms will be posted in the platform, and your continued use of the Services constitutes acceptance of the updated Terms.
